Terms of Service

By creating an account or using nexusflag.com, you agree to these Terms of Service and our Privacy Policy. If you are using NexusFlag on behalf of a company, you represent that you have authority to bind that company to these terms. If you do not agree, do not use the service.

NexusFlag is a sales tax nexus monitoring platform. It tracks your reported sales data against state economic nexus thresholds and sends alerts when you approach or cross those thresholds.

NexusFlag provides informational threshold monitoring. It is not a law firm, CPA, or tax advisor. The information provided is not legal or tax advice. You should consult a qualified tax professional before making any compliance decisions based on NexusFlag output.

State tax laws change frequently. While we update our threshold data regularly, NexusFlag does not guarantee that all data is current or free from error. You are responsible for independently verifying your tax obligations.

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately at support@nexusflag.com if you believe your account has been compromised.

You may not share your account with others or create accounts through automated means. Each account is for a single business entity unless you are on an Enterprise plan with multi-entity support.

Paid plans are billed monthly or annually in advance. All fees are in US dollars and non-refundable except as required by law or as described here.

• Cancellation: You may cancel at any time from your account settings. Your plan stays active through the end of the current billing period. We do not issue prorated refunds for partial months.
• Upgrades and downgrades: Plan changes take effect immediately. Upgrades are prorated; downgrades take effect at the next billing cycle.
• Failed payments: If a payment fails, we will retry and notify you by email. Access may be restricted if payment remains outstanding after 7 days.
• Price changes: We will give you at least 30 days notice before increasing prices on your current plan.

Payments are processed by Stripe. Your card information is stored by Stripe and never touches our servers.

You own your data. By uploading sales data to NexusFlag, you grant us a limited license to process it for the purpose of providing the service. We do not sell your data, share it with third parties for their own purposes, or use it to train AI models. When you delete your account, we delete your data within 30 days, except where we are required to retain it by law.

You agree not to:

• Use NexusFlag for any unlawful purpose
• Attempt to reverse-engineer, scrape, or extract our threshold data at scale
• Circumvent access controls or exploit security vulnerabilities
• Resell or sublicense the service without our written consent (except as permitted on Enterprise plans)
• Interfere with the service or other users' access to it

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on severity.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NEXUSFLAG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that threshold data will be accurate and up to date at all times. Tax law changes rapidly. You are responsible for verifying your compliance obligations with a qualified professional.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXUSFLAG AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, TAX PENALTIES, OR FINES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above may not apply to you.

These terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of NexusFlag will be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

We may update these terms from time to time. If we make material changes, we will notify you by email or by displaying a notice in the dashboard before the changes take effect. Continued use of NexusFlag after the effective date constitutes acceptance of the updated terms.
